§ 01

The agreement

These Technology Yours Terms and Conditions of Use (the “Terms”) govern your access to and use of the services made available by TECHNOLOGY YOURS, INC., a corporation with its place of business at 2503 Winsford Horizon Lane, Katy, TX 77494, United States (“Technology Yours”, “us”, “we” or the “Company”, which expression shall, unless inconsistent with the context, be deemed to include its successors and assigns). Those services include this website, our applications and content, and the IT consulting, software and application development, cybersecurity, cloud and hosting, digital marketing, and IT infrastructure work we perform for clients (together, the “Services”).

Please read these Terms carefully. Your access to and use of the Services constitutes your agreement to accept and be bound by these Terms, which establishes a contractual relationship between you and Technology Yours. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede any prior agreements or arrangements with you on the same subject matter.

Where we have signed a separate written agreement, statement of work, or service order with you, that document governs the engagement it describes. These Terms cover everything it does not.

§ 02

Eligibility and the information you give us

You must be at least 18 years of age, or such age of legal majority as may be prescribed under applicable law, to engage our Services or to enter into an agreement with us. The Services are not available to persons who have not attained that age.

When you submit an enquiry, request a quotation, book a consultation, or subscribe to our newsletter, you provide us with information such as your name, email address, phone number, and company details. You agree to keep that information accurate, complete, and up to date. Your failure to do so — including an invalid or unmonitored email address on file — may prevent us from delivering the Services or from reaching you about them.

Some services are delivered through third-party platforms — most notably our domain registration and hosting portal. Where those platforms require you to create an account, you are responsible for maintaining the security and secrecy of your credentials at all times, and for all activity that occurs under your account. You may not transfer or assign such an account to any other person or entity without our written consent. Those platforms carry their own terms, which apply in addition to these Terms.

In certain instances you may be asked to provide proof of identity or of authority to act for an organisation, and you agree that access to or use of the Services may be denied if you decline to provide it.

§ 03

Acceptable use

You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes. In particular, you agree not to:

  • use the Services to host, transmit, or distribute unlawful, infringing, deceptive, or malicious content;
  • attempt to gain unauthorised access to our systems, our clients’ systems, or any network or account connected to them;
  • interfere with, disrupt, or place an unreasonable load on the Services or the infrastructure that supports them;
  • reverse engineer, resell, or sublicense the Services or any deliverable except as expressly permitted in writing; or
  • cause nuisance, annoyance, inconvenience, or property damage to us, to our personnel, or to any other party in the course of using the Services.

Technology Yours may immediately terminate these Terms, suspend or terminate any Service with respect to you, or generally cease offering or deny access to the Services or any portion of them, at any time and for any reason.

§ 04

Our liabilities

  1. We may engage subcontractors, vendors, and technology partners to help deliver the Services. Those parties are our working partners; except where they act under our direction on an engagement, we are not liable for their independent conduct, and we are not liable for any wrongdoing, including criminal acts, committed by them outside the scope of the work we have contracted them to perform.
  2. We employ appropriate and reasonable technical and security measures to keep our website and applications secure and free of viruses and errors. However, no security system is impenetrable. We therefore cannot guarantee the security of our systems, nor can we guarantee that information you provide will not be intercepted while being transmitted to us.
  3. Our website, applications, and hosted services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications — including the device or connection you are using being faulty, out of range, switched off, or otherwise not functioning. We are not responsible for delays, service failures, damages, or losses resulting from such problems.
  4. Where a Service depends on a third-party platform, network, registrar, or data centre, the availability and quality of that underlying platform is the responsibility of its operator. We will use reasonable efforts to work with those operators on your behalf, but we do not warrant uninterrupted or error-free operation of systems we do not control.
  5. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
§ 05

Governing law and venue

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the State of Texas, United States, without giving effect to any conflict-of-law rule or principle that would result in the application of the laws of another jurisdiction.

You and Technology Yours, Inc. agree that the state and federal courts located in Fort Bend County, Texas shall have exclusive jurisdiction and venue over any dispute arising out of or relating to these Terms or the Services, and each party consents to the personal jurisdiction of those courts and waives any objection to that venue on the grounds of inconvenient forum. Nothing in this clause prevents either party from bringing an individual claim in a small claims court of competent jurisdiction.

Our registered place of business is Technology Yours, Inc., 2503 Winsford Horizon Lane, Katy, TX 77494, United States. Where mandatory consumer-protection or data-protection law in your country of residence gives you rights that cannot be waived by contract, nothing in these Terms limits those rights.

§ 07

Notice

Technology Yours may give notice by means of a general notice on the Technology Yours website, by electronic mail to the email address you have provided to us, or by written communication sent to the address you have provided. You may give notice to Technology Yours by written communication to contact@technologyyours.com.

§ 08

Severability and entire agreement

If any provision of this agreement is held to be illegal, invalid, or unenforceable, in whole or in part, under any law, that provision or part of it shall to that extent be deemed not to form part of this agreement — but the legality, validity, and enforceability of the remaining provisions shall not be affected. In that event, the parties shall replace the illegal, invalid, or unenforceable provision with one that is legal, valid, and enforceable and that has, to the greatest extent possible, a similar effect, given the contents and purpose of this agreement.

This agreement constitutes the entire agreement and understanding of the parties with respect to its subject matter, and replaces and supersedes all prior or contemporaneous agreements or undertakings regarding that subject matter.
